Abstract
The question of the regional interest has long occupied
a somewhat ambiguous position in UK mergers
policy. Many issucs resulting from the acquisition of
companies based in the peripheral regions of the UK
appear to be given little if any weight by the Office of
Fair Trading (OFT) in its decision to recommend a
mcrgcr for referral to the Monopolies and Mergers
Commission (MMC). Moreover, in the few refcrrals
where regional issues have been prominent, many of
them relating to Scotland, the Commission has
struggled to deal with thcm in a consistent manner.
In this paper the existing framework of mergers
policy with regard to the rcgional interest is first
reviewed, and an inconsistency explored. Then, on
the basis of recent research on the external takeover of
Scottish firms, the public intcrest element of regional
takeovers is reconsidered and changes to policy are
suggested which could deal with these issues in a more
consistent and systematic way.
