Abstract

In November 2020, the Chancellor of the United Kingdom (UK) launched the UK Listings Review chaired by Lord Hill. This is part of a plan to strengthen the UK as a leading global financial centre. In response to this proposal, the Financial Conduct Authority launched a consultation in April 2021 to amend the listing rules regarding Special Purpose Acquisition Companies ( SPACs). The Financial Conduct Authority ( FCA) eventually announced in July 2021 that the UK will adopt a new listing regime for SPACs from August 2021. This article discusses why the UK decided to amend the rules relating to SPACs from a commercial perspective and what measures have the UK adopted to attract more SPACs listing. In doing so, it will make reference to the United States (US) and examine how it has handled the issue of SPACs in the past and experiences that they provide for the UK.
